Paramount Finalizes Warner Bros. Discovery Purchase, Launching Skydance Media Giant

Paramount has officially closed its acquisition of Warner Bros. Discovery, a move that creates a sprawling new entertainment conglomerate operating under the name Skydance. The completion of the deal, announced Tuesday, follows a contentious bidding process and a last-minute legal challenge that threatened to unravel the transaction. The newly formed entity brings together some of the most recognizable names in Hollywood and television, fundamentally reshaping the media landscape.

The combined company unites Paramount Pictures and Warner Bros. Pictures under one roof, alongside the CBS News and CNN news networks. It also houses the HBO and CBS television brands, giving Skydance an extensive portfolio of film and television assets. The scale of the merger has few precedents in the entertainment industry, placing a vast array of production studios, cable channels, and streaming platforms under single ownership.

David Ellison, the CEO of Paramount Skydance, celebrated the closure of the deal in a statement. "Today is a historic day, not just for Skydance but for our entire industry," he said. Ellison's family, which holds substantial wealth and maintains ties to U.S. President Donald Trump, played a central role in financing the acquisition. The Ellison family now holds the largest equity stake in the newly formed Skydance.

Trading of Skydance shares began Tuesday on the New York Stock Exchange under the ticker symbol "SKYD." As part of the agreement, former Warner Bros. Discovery shareholders will receive approximately $31 per share in cash. The payout marks the end of Warner Bros. Discovery's brief existence as a standalone publicly traded company, following its own creation through a merger in 2022.

The deal's path to completion was not smooth. It closed less than a week after a federal judge in California approved a settlement between Paramount and 12 U.S. states that had sued to block the transaction on antitrust grounds. Those states argued that the merger would stifle competition and harm consumers. The settlement, reached in late September, cleared the final regulatory hurdle, allowing the companies to proceed without a prolonged courtroom battle.

Paramount originally won a bidding war against Netflix in February for control of Warner Bros. Discovery. The Trump administration then approved the deal in June, a decision that surprised some observers because it did not require any changes to the combined company's business practices. The lack of conditions stood in contrast to typical antitrust reviews of large mergers, which often demand divestitures or behavioral commitments to preserve market competition.

To finance the acquisition, the deal was backed by $47 billion in new equity. This funding was led by the Ellison family, private equity firm RedBird Capital, and sovereign wealth funds from Saudi Arabia, Qatar, and Abu Dhabi. David Ellison's father, billionaire Oracle founder Larry Ellison, provided major funding and a guarantee to lenders supporting the transaction. The involvement of foreign sovereign wealth funds has drawn scrutiny from some lawmakers and industry watchdogs concerned about influence over American media.

Skydance, which will have nearly $70 billion in annual revenue, said it is targeting more than $6 billion in cost savings within three years. Such savings typically come through layoffs, consolidations, and reduced production spending. David Ellison will serve as chairman and CEO of the new company. Former Mattel chief Ynon Kreiz will act as co-CEO, overseeing day-to-day operations and the complex task of integrating the two businesses.

Ellison has also outlined plans to eventually merge the Paramount+ and HBO Max streaming services. Combining the two platforms would create a single subscription service with a massive library of films and television shows, potentially giving Skydance a stronger position against competitors like Netflix, Disney+, and Amazon Prime Video. However, the integration of streaming technology and content agreements could take years to complete.

Opponents in the movie industry have warned that the combined company will slash jobs in a Hollywood already under pressure from production slowdowns, rising costs, and shifting consumer habits. Critics also fear that the merger will reduce the number of films produced each year, as the new entity prioritizes fewer, larger-budget projects over a diverse slate of mid-budget films that have traditionally launched careers and nurtured creative talent.

News media groups have raised separate concerns about the independence of CNN, which is now owned by Skydance. Given the Ellison family's ties to Donald Trump, critics worry that editorial decisions at CNN could be influenced by political considerations. The settlement decree includes several safeguards intended to address these fears, including the establishment of a board specifically designed to protect CNN's editorial independence and shield the network from undue interference.

The completion of this merger represents one of the largest media consolidations in modern history, comparable in scope to previous major deals such as Disney's acquisition of 21st Century Fox. It consolidates two of Hollywood's oldest and most storied studios, along with two major news networks and two premium television brands, into a single corporate entity with immense cultural and political influence. The long-term effects on competition, employment, and content diversity will likely be debated for years to come.
